These are the rules for using Janitorial Smart Ops. By signing up or using the Service, you agree to them. We tried to keep them short and readable — but where a legal term is the legal term, we used it. If a clause here conflicts with a signed order form, the signed order form wins.
By creating an account, starting a trial, or using the Service in any way, you agree to these Terms of Service and to our Privacy Policy. If you are using the Service on behalf of a company, you represent that you have the authority to bind that company to these terms.
If you do not agree, do not use the Service. There's no hard feelings and nothing to cancel — simply close the tab.
Janitorial Smart Ops is a software platform for commercial janitorial operators. The Service includes (without limitation) AI-assisted proposals, client and staff management, GPS-verified clock-in, photo-verified inspections, automated invoicing, and a client portal. The Service is delivered via the web, installable PWA, and other channels we may add.
We may change, add, or remove features from time to time. If a change materially reduces functionality you've come to rely on, we will give you reasonable notice.
To use the Service you must create an account with accurate information and keep your login credentials confidential. You are responsible for everything that happens under your account, including the actions of staff and clients you invite.

Paid plans are billed monthly in Canadian dollars in advance. By subscribing, you authorize us (through our payment providers, Square and Stripe) to charge your payment method on a recurring basis until you cancel.
Prices are shown on our Pricing page at the time of purchase. We may change prices with at least 30 days' notice; any change takes effect at the start of your next billing cycle.
Failed payments will trigger a reminder and a grace period. If payment is not resolved, your account will be suspended and eventually terminated per clause 10.
New customers may start a 14-day free trial on any plan, with no credit card required. At the end of the trial, if you have not entered payment information, your account simply becomes inactive. If you have entered payment information, your first paid billing cycle begins automatically — you can cancel from your portal in two clicks before that happens.
You agree not to use the Service to:
We may suspend or terminate accounts that violate this clause, in our sole discretion, with or without prior notice depending on severity.
You retain all rights to the data you upload or create in the Service — your client records, schedules, inspection photos, proposals, and operational data. You grant us a limited, worldwide, non-exclusive, royalty-free license to use, store, and process that data solely for the purpose of providing the Service to you.
We will not sell your data, use it for targeted advertising, or share it with third parties except as described in our Privacy Policy.
You can export your data at any time from your portal. Upon account termination, you can request deletion of your data as described on our Data Deletion page.
The Service, including its source code, design, trademarks, documentation, and all underlying technology, is the property of Janitorial Smart Ops Inc. or its licensors. Nothing in these Terms transfers any ownership in the Service to you. You get a subscription — you do not get the code.
If you send us ideas, suggestions, or feedback about the Service, we may use them without restriction, compensation, or attribution. We love feedback. We just cannot promise to treat it as confidential or to pay royalties for ideas.
You can cancel your subscription at any time from your portal. When you cancel, you retain access until the end of the current billing period; after that, your account becomes inactive and is subject to our data retention and deletion policies.
We may suspend or terminate your account if you materially breach these Terms, if your payment fails and is not cured within the grace period, or if continuing to provide the Service would expose us to legal or security risk. We will give you reasonable notice where possible.
The Service is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.
We do not warrant that the Service will be uninterrupted, error-free, or completely secure. We do commit to reasonable uptime, reasonable security practices, and telling you when something goes wrong.
To the maximum extent permitted by law, Janitorial Smart Ops Inc., its officers, employees, and agents are not liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising from or related to your use of the Service — including lost profits, lost data, or business interruption — even if we have been advised of the possibility of such damages.
Our total aggregate liability for any claim arising out of or related to these Terms or the Service is limited to the amount you paid us in the 12 months immediately preceding the event giving rise to the claim.
You agree to indemnify and hold harmless Janitorial Smart Ops Inc. against any claim, demand, loss, or expense (including reasonable legal fees) arising from your violation of these Terms, your misuse of the Service, or your violation of any third-party right.
These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable in Alberta, without regard to conflict-of-laws principles. Any dispute arising out of or related to these Terms or the Service will be resolved exclusively in the courts of Alberta, and you consent to the personal jurisdiction of those courts.
We may update these Terms from time to time. If we make material changes, we will notify you by email and post a notice on our website at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
